Terms of Service

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use Recall 9. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of the Service

Recall 9 is an AI-powered second-brain application that helps you capture, organize, and rediscover notes, ideas, links, and memories. The Service includes features such as AI-assisted search, summarization, organization, and personalization based on your usage patterns. Features may change, be added, or removed at our discretion.

3. Account Registration

To use Recall 9, you must sign in using Google Sign-In. You are responsible for:

• Maintaining the security of your Google account
• All activity that occurs under your Recall 9 account
• Providing accurate account information
• Notifying us promptly of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. User Content

"User Content" means any text, notes, links, files, or other materials you submit, store, or transmit through the Service. You retain ownership of your User Content. By using Recall 9, you grant DotX a non-exclusive, worldwide, royalty-free license to host, store, process, display, and use your User Content solely to operate, provide, and improve the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to submit it and that it does not violate any law or third-party rights.

5. AI Features and Third-Party Processing

Recall 9 uses Google Gemini and other third-party technologies to power AI features. When you use AI-powered functionality:

• Your User Content and prompts may be sent to Google for processing
• AI-generated outputs may be inaccurate, incomplete, or inappropriate
• Your data may be used by Google in accordance with its terms, which may include use for model training and improvement
• You should not rely on AI outputs as professional, legal, medical, or financial advice

You acknowledge that AI processing involves sharing data with third parties and accept the risks associated with such processing as described in our Privacy Policy.

6. Personalization and Usage Data

Recall 9 collects and analyzes your behavioral and usage data to personalize your experience, including content recommendations and feature adaptations. By using the Service, you consent to this collection and use as described in our Privacy Policy. You may manage certain preferences within the App where available.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Upload content that is defamatory, harassing, obscene, infringing, or harmful
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, scrape, or extract data from the Service except as permitted by law
• Use the Service to develop competing products using our proprietary features or data
• Submit malware, spam, or automated requests that burden our systems

8. Subscriptions and Payments

Recall 9 may offer free and paid subscription plans. If you purchase a paid plan:

• Fees are billed in advance on a recurring basis (monthly or annually) unless stated otherwise
• Payments are processed through third-party app stores (Apple App Store, Google Play) subject to their terms
• Subscriptions auto-renew unless canceled before the renewal date through your app store account
• Refunds are handled according to the applicable app store's refund policies
• We may change pricing with reasonable notice; changes apply to subsequent billing periods

9. Data Security

We use industry-standard measures to protect data transmitted to and from the Service. Data is encrypted in transit (e.g., via TLS/HTTPS).

Data stored in our database is not encrypted at rest. You acknowledge this limitation and agree not to store information in Recall 9 that requires encryption at rest unless you accept the associated risks. See our Privacy Policy for full details.

10. Intellectual Property

The Service, including its design, software, branding, logos, and documentation, is owned by DotX or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no license or rights are transferred to you. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

We do not warrant that the Service will be uninterrupted, error-free, or secure. AI-generated content may contain errors and should be independently verified. We are not responsible for third-party services, including Google Sign-In and Google Gemini.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOTX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless DotX and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Termination

You may stop using the Service at any time and may request account deletion by contacting us. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we discontinue the Service.

Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

If you are a consumer in a jurisdiction that provides mandatory consumer protection laws, nothing in these Terms limits rights you cannot waive by contract under applicable law.

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date and provide notice through the Service or by email where appropriate. Continued use of Recall 9 after changes take effect constitutes acceptance of the revised Terms.
